Statutory changes at Adria Airways

At today's 26th regular session the Adria Airways General Meeting adopted, with a majority of votes present, the proposal of the majority shareholder on changes to the company's management structure with the introduction of a unitary board. The General Meeting endorsed the counter-proposal of the representative of the majority shareholder PDP d.d. of a three-member management board, to which Dr Maks Tajnikar and Mr Primož Klemen are appointed for a five-year term as shareholder representatives. The third member of the board, who will represent the interests of employees, will have to be confirmed at a later date by the Works Council.

The attendance fees to be received by members of the management board were confirmed at the General Meeting in accordance with the government resolution of 22 January 2009 regarding the payment of attendance fees and awards, with the result that the chairman of the management board will receive a gross attendance fee €357.50 and members will receive €275.00.

The General Meeting gave discharge to the management board and supervisory board for the 2009 financial year and appointed Ernst&Young as auditor for the 2010 financial year.
