Adria Airways in consultation with its shareholders, has appointed Barons Financial Services (BFS), an advisory investment banking firm headquartered in Geneva with a subsidiary in London, as its financial advisor to assist in finding strategic partners and, or investors for Adria Airways.

At yesterday’s supervisory board meeting, the members discussed the company’s current business, questions regarding Adria Airways Tehnika and confirmed the procedure for selling Adria Airways and selecting a financial adviser. Under Miscellaneous, Klemen Boštjančič, President of the Management Board, was deposed and a new president appointed. However, after a heated discussion, the supervisory board members established that they had failed to take into account the legal aspects involved in the role of the management board president of an airline; under the Adria Airways memorandum of association, the management board president is also the accountable manager. Consequently, Vinko Može, President of the Supervisory Board, resigned irrevocably and with immediate effect, while the remaining supervisory board members revoked the decision to depose Mr. Boštjančič and the decision to appoint a new management board president. Klemen Boštjančič thus remains the Adria Airways management board president.

Jože Pučnik Ljubljana Airport - Renovation of the business lounge

The existing passenger terminal received a partial renovation and expansion in 2007 to meet the needs of Slovenia’s entry into the Schengen Area. This expansion of the airport led to a considerable improvement in the standard of care for guests travelling in economy class; unfortunately, due to objective limitations the project did not manage to provide a higher standard for business travellers. Business travellers still use a business lounge built years ago; it does not provide a level of service befitting a modern airline passenger travelling in business class. The business lounge is too small; its decor is rather dated, and the offerings available in the lounge are also in need of improvement.

Adria Airways from Tomorrow with Prishtina Verona Flight

Adria Airways will introduce a scheduled route from Prishtina to Verona, commencing January 28. The service will operate two times a week on Tuesdays and Saturdays. Departures from Prishtina are scheduled for 11:15, with arrival in Verona at 1:15 pm. Adria aircraft will depart for Prishtina at 2:00, arriving at 3:50 pm.

At today's meeting, Adria Airways d. d.'s Meeting of Shareholders adopted the resolution as proposed by the Company's largest shareholder, PDP d.d., and the increase of share capital of the Company in the form of the capital investment (cash injection) and the debt to equity conversion together in the amount of 69.720.983EUR. Capital investment will be performed by Republic of Slovenia in the amount of 49.500.000 EUR and by the shareholder PDP in the amount of 500.000 EUR, the debt to equity conversion will be performed by the banks as follows: the bank NLB d.d. in the amount of 13.836.035 EUR, the bank UniCredit banka in the amount of 1.248.948 EUR, the bank Hypo Alpe-Adria-Bank in the amount of 1.281.000 EUR and the bank Abanka Vipa in the amount of 3.355.000 EUR. All the bulk shares, which will be issued by the Company, have to be paid until 30.09.2011.
